Please read these Terms carefully before using Adverteks. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use Adverteks.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Publisher," "Advertiser," or "you") and Adverteks ("Adverteks," "we," "our," or "us") governing your access to and use of the Adverteks programmatic advertising platform, including our Supply-Side Platform (SSP), Demand-Side Platform (DSP), Real-Time Bidding (RTB) exchange, APIs, and all associated services (collectively, the "Platform").
By creating an account, clicking "I agree to Terms of Service," or otherwise accessing or using the Platform, you represent that you are at least 18 years of age, have the legal capacity to enter into binding contracts, and agree to be bound by these Terms and our Privacy Policy.

You must be at least 18 years old and capable of forming a legally binding contract to create an account. By registering, you confirm all information you provide is accurate, current, and complete.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@adverteks.com of any unauthorized access.
We may require identity or domain verification before activating accounts. We reserve the right to reject or suspend any account at our sole discretion.
Publishers must own or have the legal right to monetize the inventory they submit. You represent and warrant that:
Publishers must implement Adverteks ad tags as specified in our documentation. Manipulation of ad tags, impression counting, or reporting is strictly prohibited and will result in immediate account termination and forfeiture of earnings.
Publisher properties must not contain content that violates Section 8 (Prohibited Content). We may reject or remove any site from the network at our discretion.
Advertisers are solely responsible for all ad creatives, landing pages, and content they submit. You represent and warrant that all advertising materials:
Advertiser campaigns require a minimum daily budget of $50 USD. We reserve the right to modify minimum budget requirements with notice.
Adverteks may review ad creatives before serving. Approval or serving of an ad does not constitute endorsement. We may remove or pause any ad at any time for policy violations or any other reason.
Publishers receive 70% of net advertising revenue generated from their inventory. Adverteks retains 30% as its platform fee. "Net advertising revenue" means gross advertiser spend minus transaction fees, chargebacks, and invalid traffic deductions.
Revenue is calculated based on valid impressions, clicks, or other billable events as defined in your account settings. Adverteks's revenue calculations are final and binding absent manifest error.
We reserve the right to adjust reported revenue for: invalid traffic or fraud; advertiser chargebacks; technical measurement errors; or amounts we are required to refund to advertisers.
Publisher earnings are paid on a net-30 basis (30 days after month-end). The minimum withdrawal threshold is $25 USD. Earnings below this threshold roll over to the following month.
Payments are processed via bank transfer, PayPal, or other available methods. You are responsible for providing accurate payment details. Adverteks is not responsible for failures due to incorrect information.
You are solely responsible for all taxes applicable to payments you receive. We may withhold taxes as required by law. Publishers outside the US may need to provide tax documentation (e.g., W-8BEN) before payment is issued.
Advertisers are billed based on actual ad delivery. Prepaid campaign funds are drawn down as campaigns run. Unused funds may be credited to your account balance or refunded at our discretion, subject to a 30-day hold period.
Payment disputes must be raised within 30 days of the payment date. Disputes after this window will not be considered.
Zero Tolerance. Any detected fraudulent activity results in immediate account termination, forfeiture of all pending earnings, and potential legal action. No exceptions.
We employ advanced fraud detection including machine learning, IP reputation scoring, traffic quality analysis, and manual review. Our fraud determinations are final.

We cooperate fully with law enforcement investigations related to advertising fraud and reserve the right to pursue civil and criminal remedies.
By using the Platform, you acknowledge that data about ad impressions, clicks, and platform performance may be collected and used to operate and improve the Platform. See our Privacy Policy for full details.
Publishers grant Adverteks a non-exclusive license to deliver ads on their inventory and collect performance data for platform operations and analytics. Advertisers grant Adverteks a non-exclusive license to serve their creatives and use campaign data for optimization and reporting.
The Platform, including all software, algorithms, designs, trademarks, and Adverteks-created content, is owned by Adverteks and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform.
You retain ownership of your ad creatives and publisher content. You grant Adverteks a worldwide, royalty-free license to use and display your content solely for purposes of operating the Platform.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADVERTEKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION.
OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID TO OR RECEIVED FROM ADVERTEKS IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
You agree to defend, indemnify, and hold harmless Adverteks and its officers, directors, employees, and agents from any claims, damages, costs, or expenses (including attorneys' fees) arising from: your use of the Platform; your violation of these Terms; your ad creatives or publisher content; your violation of third-party rights; or your violation of applicable law.
We may suspend or terminate your access at any time, with or without cause or notice. You may close your account by contacting support@adverteks.com.
Upon termination: access ceases immediately; outstanding earnings above the minimum threshold are paid on the normal schedule (unless forfeited due to violations); Sections 7, 9, 11, 12, 13, 14, and 16 survive.
We may update these Terms from time to time. We will notify you of material changes by email or Platform notice. Continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of the State of Delaware, United States. Disputes shall be resolved in state or federal courts in Delaware. EU consumers may also have rights under applicable EU consumer protection law.
